ACCEPTANCE OF TERMS AND CONDITIONS

  2. Authority to Bind: If the user is accepting these terms on behalf of another person, company, or legal entity, the user represents and warrants that they have the full authority to bind that other person, company, or legal entity to these terms.
  3. Site Access: If the user does not agree to these terms, they may not access or use the website. Access to the site from outside of India is at the user's own initiative, and the user is responsible for compliance with any applicable local laws regarding internet usage and website access.
  4. Inaccuracies or Errors: Domis Tech assumes no liability for inaccuracies or typographical errors on the website and reserves the right to correct such errors at any time.
  5. Changes to Site and Terms: Domis Tech may make changes, updates, and improvements to the website or these terms and conditions at any time without notice.

TRADEMARKS AND COPYRIGHTS

  1. Trademarks: The trademarks, service marks, and logos (collectively referred to as "Trademarks") used or displayed on the website are registered and unregistered trademarks of Domis Tech and others. Nothing on the website should be interpreted as granting any license or right to use any Trademark without the written permission of the Trademark owner.
  2. Use of Trademarks: Trademarks of Domis Tech may not be used in any way without the prior written permission of Domis Tech, except for "linking logos" specifically designed for the purpose. The use of Domis Tech Trademarks as "hot" links to this Site or any other Domis Tech website is prohibited.
  3. Copyrights: Copyrights relating to images found on the website are owned by Domis Tech or the applicable copyright owner. User must not download any image from the website and use it for any reason without the express prior permission of Domis Tech or the applicable copyright owner.

USE RESTRICTIONS

  1. Copyright Ownership: The copyright in all material, including still and moving images, on the website is held by Domis Tech, the original creator of the material, or its assignee.
  2. Restricted Use: Except as stated in the terms, none of the material on the website may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means without the prior written permission of Domis Tech or the appropriate copyright owner.
  3. Mirroring and Deep Links: User may not "mirror" any material from the website or perform "deep links" without prior written permission from Domis Tech. User also may not use any Trademark as a metatag relative to any other website.
  4. Sales and Licensing: The sale or licensing of products from the website is limited to customers and shipping destinations within the United States, unless otherwise expressly stated elsewhere on the website.
  5. Restricted Access to Downloads: Access to downloads and use thereof is restricted to individuals or entities that have acquired Domis Tech products from an authorized source. All other downloads and use thereof are prohibited.

Software Services Agreement

COMMON TERMS

  1. Agreement: This Software Services Agreement and any Order Forms
  2. Affiliates: An entity that is directly or indirectly controlled by or is under common control with a party, where “control” means an ownership, voting, or similar interest representing fifty percent (50%) or more of the total interests then outstanding of the relevant entity.
  3. Cloud Services: The software-as-a-service offering identified in an Order Form made available for access by You over the internet.
  4. Complementary Software: Samples, Utilities, Plug-ins, User interface components, and/or reports that are generally not included in a standard software offering, but are provided as an accommodation to you, without separate additional charge.
  5. Confidential Information:
    1. The Software
    2. The technology, ideas, know-how, documentation, processes, algorithms, and trade secrets embodied in the Software
    3. Any software keys related to the software
    4. Any other information in written or electronic media that is identified as “confidential,” “proprietary,” or with a similar legend at the time of such disclosure.
  6. Designated Location: The site, Equipment, and/or application owned and operated by You as designated by Domis Tech in the Order Form, Activation Certificate, or other agreement between the parties.
  7. Documentation: The then-current documentation regarding the Software that is generally provided or made available to You by Domis Tech.
  8. Equipment: Any physical asset, sub-component, or grouping thereof.
  9. Feature: An add-on functionality
  10. Terms of Use: The period specified in the Activation Certificate or Order Form.
  11. Use Type: For locally installed Software, Named Use, Device Use, Site Use, Capacity-Based Use, Capability Use, or subscription license and, for Cloud Services, access on a subscription basis. The Use Types may be used individually or in combination with other Use Types
  12. On-premise Software: An ordering document, including quotation, furnished by Domis Tech, setting forth the Software purchased, Term of Use, Use Type, and other relevant terms agreed to by You and Domis Tech.
  13. Permitted User: An individual authorized by You, or a device accessing and/or utilizing the Software, to use the Software in accordance with the terms of this Agreement and applicable Order Form(s). Permitted Users are limited to Your employees, consultants, subcontractors, suppliers, business partners, and customers who use the Software solely to support Your internal business purposes.
  14. Software: Domis Tech’s computer software, programs, technology, Cloud Services, Complementary Software, firmware, associated media, the associated Documentation, and any updates, upgrades, or enhancements thereto, or portions thereof, including revisions or modifications.
  15. Support Services: Support and maintenance services, including updates, upgrades, or enhancements to the Software, as described in Domis Tech’s then current maintenance and support program.
  16. Third-Party Software: Third-party software furnished with or as part of the Software.
  17. You: The purchaser of the Software and/or the user of the Software.

GRANT OF USE

  1. License of Right to Use Subject to Your compliance with all the terms and conditions of this Agreement, Your timely payment of any applicable license or subscription fee, and Your compliance with any activation process, Domis Tech and its third-party licensors grant You a limited, personal, non-transferable, non-exclusive license or, if for Cloud Services, right during the Term of Use to download, install, and/or use the Software in accordance with the Documentation and relevant Order Form, for Your own internal business purposes. You are responsible for ensuring Your personnel and authorized contractors comply with all relevant terms of this Agreement and any failure to comply will constitute a breach by You. Any use of the Software by authorized contractors shall be solely for Your internal business purposes.
  2. Changes to Software Domis Tech or its suppliers may make changes to the Software from time-to-time. If You have paid for the Software, Domis Tech will use reasonable efforts to provide You with prior notice of any material changes to the Software.
  3. Administration Your use of the Software may require a user account. You are responsible for all activities that occur under Your user account. You are responsible for identifying and authenticating all users, approving access by such users, and controlling unauthorized access to Your user account. You are responsible for maintaining the confidentiality of Your user account information and passwords. Domis Tech will rely on any information received from any person or entity using Your user account and password, and Domis Tech will incur no liability arising out of such reliance. Domis Tech is not responsible for any harm caused by Your users, including individuals who were not authorized to have access to the Software. If You become aware of any unauthorized use of Your password or user account, it is Your responsibility to notify Domis Tech as promptly as possible.
  4. Permitted Users Your use of the Software may require a user account. You are responsible for all activities that occur under Your user account. You are responsible for identifying and authenticating all users, approving access by such users, and controlling unauthorized access to Your user account. You are responsible for maintaining the confidentiality of Your user account information and passwords. Domis Tech will rely on any information received from any person or entity using Your user account and password, and Domis Tech will incur no liability arising out of such reliance. Domis Tech is not responsible for any harm caused by Your users, including individuals who were not authorized to have access to the Software. If You become aware of any unauthorized use of Your password or user account, it is Your responsibility to notify Domis Tech as promptly as possible.

USE RESTRICTIONS

  1. You may not reverse assemble, reverse engineer, decompile, modify, translate, or create derivative works or improvements of the Software except and only to the extent that such restrictions may be permitted by applicable law. You may not work around or bypass any technical restrictions or limitations in the Software or Cloud Services.
  2. Except as expressly stated herein, you may not sublicense, rent, resell, lease, lend, transfer, or otherwise make available the Software, or any features or functionality of the Software, to any third-party for any reason.
  3. You may not use the Software for benchmarking or other competitive purposes.
  4. You may not remove, minimize, block, or modify any logs, trademarks, copyrights, or other notices of Domis Tech or its licensors that are included in the Software.
